I presume it's because they could understate the value of Bony in the deal - not ridiculously, but they could probably get away with valuing him at £15 million, making the overall deal £35m, rather than the £45 we were hoping for.
To be fair, some of the players who we've seen at Oakwell in recent years you'd have to think twice about even paying that for them.
it is, however you would expect the clubs to downsize the value of the player. it doesn't matter to city as they get the man they want and it obviously benefits everton as they get to pay less. i personally think this kind of deal would leave us out of pocket, regardless of the legal definition of the 15%

If that happens we should send the boys round and take 15% of Bony. His right leg up to the knee would about cover it.
