This is the disappointing thing. If he takes the Swansea job, it does suggest to me that he's not happy with the plans we have put forward for this season, as a promotion would've enhanced his reputation and he wouldn't have been far off being in the frame for genuine contenders for promotion to the PL.

If its true he's agreed to a contract before martin as officially left. It don't look good on duff. What if Southampton pull out and think **** this?
While officially, it should be a case of agreeing with the club before talking to the individual, I think it's very likely that Duff has given the nod to Swansea, for them to now be negotiating with the club over compo. The fact they are negotiating suggests they are looking to pay less than his contracted release fee. The club should outright refuse any offer that is within their power to do so.
Personally, no. It seems many/most have though. If he goes he'll go with my best wishes. I'll be disappointed but let's be honest 99% of folk would move for better pay/prospects/conditions, no reason football managers or players should be different, especially if they're ambitious.

For me, Duff would not be welcome back at Oakwell. Left the job half finished, jumped ship at first opportunity. Will not be getting a warm reception from me
20 pages in it looks like that's the case. To make it clear, I don't know anything, but wouldn't be surprised to learn Swansea aren't interested and Duff wouldn't go even if they were.
