I wouldn't want the existing management running a company in that situation. The administrator's team can choose whether or not to use them depending on the situation they find themselves in. On the cases I worked on we tapped into their knowledge when needed, but more often than not it was the key employees we relied upon (e.g. shop floor manager, etc). In some cases we were better served by keeping the directors as far away from the business as possible.
It depends. In some circumstances restrictive covenants can be overturned very easily. It depends on several factors including the age and nature of the covenant and the change in circumstances since the time it was granted. Also a restrictive covnenant can only be enforced by the land which benefits from it - it is not enforceable by the world in general. And if the same party holds both the land which is subject to the covenant and benefits from it then it will automatically cease to exist.
